1. This page states the terms and conditions (the “Terms and Conditions”) under which you may use MedTrials.co.uk (“The Website”).

2. By accessing and/or registering with the Website, you are deemed to accept these Terms and Conditions.

3. MedTrials Ltd (“MedTrials”) may revise these Terms and Conditions immediately at any time by updating this posting. You should visit this page periodically to review the Terms and Conditions.

4. The terms “You” and “User” as used to refer to anyone accessing this Website for any reason, whether as a business or in their personal capacity.

Use of Website Content

1. The contents and compilation of this Website such as text, graphics, images, logos, button icons, software and other Website content (collectively, “Website Content”), are owned by or licensed to MedTrials under UK, European and other copyright, trademark and other laws.

2. Unless explicitly made available, you are not permitted to copy, aggregate, download, store (including in any other website), distribute, transmit, broadcast, publish adapt or change in any way the content of The Website for any purpose, without prior written permission of MedTrials.

3. You are not permitted to frame in any way or to link to The Website from any other third party website (whether owned, operated or accessed by you) without the express prior permission of MedTrials.

4. You may not use the Website in any way that is, or may in our total discretion be considered to be, defamatory, offensive, vulgar, obscene, harassing, threatening, abusive or hateful, racist, sexist, discriminatory, of a menacing character or cause annoyance, inconvenience, embarrassment or anxiety to any person.

5. You are prohibited from violating or attempting to violate the security of the Website in any way.

6. The Website may be used only for lawful purposes by individuals seeking information about taking part in clinical trials, registering an interest and clinical investigators, CROs etc seeking to advertise their study.

7. MedTrials specifically prohibits any other use of the Website, and you agree not to use, or allow any party under their control to use The Website for any other use.

User Submissions- individuals wishing to take part in a clinical trial

1. When you register for the Website, you will be asked to provide MedTrials with certain personal data including a valid email address (your “Submission”).

2. MedTrials will disclose the personal data that you include in your Submission to approved third party clinical trial investigators. They may use this data to contact you directly. In making a Submission, you consent to this processing of your personal data until you tell us otherwise by emailing us at [email protected] with “unsubscribe” in the subject title.

3. You acknowledge and agree that you are solely responsible for the form, content and accuracy of any Submission. You warrant that any Submission you make shall be made in good faith and shall be true and complete to the best of your knowledge. The act of sending a Submission to us will be treated as your acknowledgement and representation that a) you are the copyright owner of such Submission, or that you have been granted the express permission of the copyright owner of such Submission consistent with the manner and purpose of you making the submission b) you have or have been granted the rights necessary to grant us the licences detailed below.

User Submissions – advertisers

1. Medtrials will request that you supply written content to The Website (a “Submission”). You acknowledge and agree that you are solely responsible for the form, content and accuracy of any Submission. You warrant that any Submission you make shall be made in good faith and shall be true and complete to the best of your knowledge. The act of sending a Submission to us will be treated as your acknowledgement and representation that a) you are the copyright owner of such Submission, or that you have been granted the express permission of the copyright owner of such Submission consistent with the manner and purpose of you making the submission b) you have or have been granted the rights necessary to grant us the licences detailed below.

2. By making a Submission to us you hereby grant us a licence to reproduce, display in public and/or distribute any such Submission (including but not limited to, making the Submission available to other users of The Website, and (b) to any other user of The Website the permission and license to use and view your Submission to the fullest possible extent as permitted by these terms. The licenses which you grant above shall be world-wide, royalty-free licenses to copy, distribute, transmit, sub-license, display, reproduce, edit, translate and reformat your Submission.

3. You warrant that any Submission that you make complies with all relevant codes of practice, regulation and current legislation and that Ethics approval has been received. Failure to do so will result in the withdrawal of your Submission (and therefore withdrawal of the MedTrials service). Fees paid will not be reimbursed.

4. MedTrials will approve, in its complete discretion the content and form of any Submission before it is posted on The Website. Submissions must be provided using the online form provided and any attachments must be no bigger than 4 Mega Bytes.

5. You agree to defend, indemnify and hold harmless MedTrials, its officers, directors, employees and agents from and against any claims, actions or demands including, without limitation, any award made against MedTrials, reasonable legal and accounting fees, alleging or resulting from (i) any Submission you provide to The Website, (ii) any Website Content that you use or (iii) your breach of the terms of these Terms and Conditions. MedTrials shall provide notice to you promptly of any such claim, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

6. Rates for making a Submission to be advertised on The Website are displayed on The Website from time to time. These rates are subject to change without notice and apply in monthly or quarterly periods. MedTrials will invoice you by email to your contact email address provided on or about the day that the Submission is advertised on the Website. Payment must be made within 14 days of the date of the invoice. Failure to pay will result in the advertisement being withdrawn from The Website without further notice to you. Interest will then be charged on the outstanding amount at 4% above the current standard base rate of Barclays Bank Plc.

Liability for The Website’s content

1. MedTrials does not represent or guarantee the truthfulness, accuracy or reliability of Submissions posted by users or endorse any opinions expressed by users. You acknowledge that any reliance on material posted by other users will be at your own risk.

2. You accept that MedTrials acts as a passive conduit for the online distribution and publication of user-submitted information and has no obligation to screen communications or information in advance and is not responsible for screening or monitoring material posted by users.

3. If notified by a user of Submission which allegedly do not conform to these Terms and Conditions (or to any law), MedTrials may investigate the allegation and determine in good faith and its sole discretion whether to remove or request the removal of the Submission.

4. If MedTrials is aware that you have breached these terms and conditions in any way, MedTrials will remove your details from its database or remove your advertisement from its site without further notice to you.

5. MedTrials does not guarantee the quality, safety or legality of the clinical trials advertised or interested parties details, as the truth or accuracy of the submitted information is the responsibility of the party submitting the information.

6. You assume all risks associated with dealing with other users with whom you come in contact through the Website and/or the other MedTrials Sites.

7. MedTrials does not warrant that The Website will operate error-free or that the web site and its server are free of computer viruses or other harmful mechanisms. if your use of any MedTrials site or the web site content results in the need for servicing or replacing equipment or data, MedTrials is not responsible for those costs.

8. We will not be responsible for any loss or damage (whether direct or indirect) including loss of profits, loss or corruption of data, loss of goodwill or special or consequential losses arising from your use of, or inability to use or access The Website or following a failure, suspension or withdrawal of all or part of the service at any time. Nothing in these terms limits our liability for fraud, death or personal injury caused by our negligence or for any other liability which cannot be excluded or limited in law.

Links to Other Sites.

1. The Website and certain other MedTrials Sites contain links to third party web sites. These links are provided solely as a convenience to you and not as an endorsement by MedTrials of the contents on such third-party web sites.

2. MedTrials is not responsible for the content of linked third-party sites and does not make any representations regarding the content or accuracy of materials on such third party web sites. If you decide to access linked third party web sites, you do so at your own risk.

General.

1. You agree not to resell or assign your rights or obligations under these Term and Conditions.

2. You also agree not to make any unauthorised commercial use of The Website.

3. If you access the Website from outside of the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

4. These Terms and Conditions are governed by the law of England and Wales. Jurisdiction for any claims arising under this agreement shall lie exclusively with the English Courts.

5. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions which shall remain in full force and effect.

6. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term.

7. Except as expressly provided in additional terms of use for areas of the Website these Terms and Conditions constitute the entire agreement between you and MedTrials with respect to the use of Website.

8. Any notices shall be sent by post to the companies registered offices

9. Except as otherwise expressly stated, use of The Website and acceptance of these Terms and Conditions does not confer any rights on any person or party pursuant to the Contracts (Rights of Third Parties) Act 1999.

10. These Terms and Conditions shall not operate to create a partnership, joint venture or agency of any kind between you and MedTrials.
